Introduction

Welcome to orbitra.global (the "Website"), operated by Orbitra Global DMCC, a company registered in the Dubai Multi Commodities Centre (DMCC) Free Zone, United Arab Emirates ("Orbitra," "we," "our," or "us").

Orbitra is building a global trade finance infrastructure platform connecting importers, exporters, banks, logistics providers, and technology participants across international trade corridors. The Website is an informational presence and early access registration channel in advance of the platform's commercial launch.

These Terms and Conditions ("Terms") govern your access to and use of the Website. By accessing or using the Website in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree with any part of these Terms, you must immediately cease using the Website.

Definitions

In these Terms, the following definitions apply:

  • "Website" means the informational and registration website located at orbitra.framer.website and all associated pages, content, and subdomains.
  • "Platform" means Orbitra's forthcoming trade finance infrastructure platform, which is not yet commercially available and is currently in pre-launch development.
  • "Early Access Programme" means the pre-launch interest registration process through which eligible participants may express interest in receiving priority access to the Platform upon its commercial release.
  • "User," "you," or "your" means any individual or legal entity accessing or using the Website.
  • "Registrant" means a User who submits the Early Access Registration Form.
  • "Registration Form" means the data capture form on the Website through which Users may register interest in the Early Access Programme.
  • "Content" means all text, graphics, images, data, software, user interface elements, and other materials displayed on or available through the Website.
  • "Personal Data" has the meaning ascribed to it under UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection.
  • "Intellectual Property Rights" means all patents, trademarks, service marks, trade names, copyrights, database rights, design rights, know-how, and any other intellectual or industrial property rights, whether registered or unregistered.

Acceptance of Terms

By accessing the Website, you confirm that:

You are at least 18 years of age, or the age of legal majority in your jurisdiction if higher;

You have the legal capacity and authority to enter into binding agreements;

If you are accessing the Website on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms; and

You agree to comply with all applicable local, national, and international laws and regulations in connection with your use of the Website.

Description of the Website

The Website currently serves as:

  • An informational landing page providing details about Orbitra's vision, mission, and planned trade finance infrastructure platform;
  • A concept showcase for the forthcoming Orbitra Command Center — a market intelligence and trade coordination product currently in development; and
  • An Early Access Registration channel through which trade finance ecosystem participants may submit their details to express interest in the Platform.

The Website does not currently offer, and does not constitute access to, any of the following:

  • A live or operational trade finance platform or dashboard;
  • User accounts, login functionality, or secure document handling;
  • Payment processing, financial transactions, or investment facilities; or
  • Binding commitments of any kind by Orbitra to deliver access, services, or commercial terms.

Early Access Registration Disclaimer

IMPORTANT: Submitting the Early Access Registration Form does not constitute a binding agreement, guarantee of platform access, commercial offer, or commitment by Orbitra of any kind.

By submitting the Registration Form, you acknowledge and agree that:

Your submission is an expression of interest only. It does not guarantee, confer, or imply any right to access the Platform or participate in any commercial arrangement with Orbitra;

Orbitra is under no obligation to accept any registration, provide early access to any Registrant, or notify Registrants of the reasons for any decision regarding access;

The Platform is in active development. Product features, specifications, pricing, availability dates, supported geographies, and regulatory approvals described or implied on the Website are subject to change at any time without notice;

Any descriptions of forthcoming functionality on the Website are provided for illustrative and informational purposes only and do not constitute a representation, warranty, or guarantee that such functionality will be delivered as described;

Orbitra reserves the right to modify, suspend, or discontinue the Early Access Programme, the Platform, or any aspect of either at any time at its sole discretion; and

Participation in any future early access or beta testing arrangement may be subject to separate terms and conditions which will be communicated at the time of invitation.

Permitted Use

Subject to your compliance with these Terms, Orbitra grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website solely for the following purposes:

  • Reviewing information about Orbitra's products, services, and trade finance platform vision;
  • Submitting your details through the Registration Form to express interest in the Early Access Programme;
  • Accessing publications, announcements, and blog content made available on the Website; and
  • Any other purpose expressly authorised by Orbitra in writing.

Prohibited Activities

You must not, and must not attempt to:

  • Use the Website for any unlawful purpose or in violation of any applicable laws or regulations, including anti-money laundering (AML) and sanctions laws applicable in the UAE and your jurisdiction;
  • Reproduce, duplicate, copy, sell, resell, scrape, or commercially exploit any part of the Website or its Content without Orbitra's express prior written consent;
  • Transmit unsolicited advertising, promotional materials, spam, or phishing communications through or in connection with the Website;
  • Introduce viruses, trojans, worms, ransomware, or any malicious or technologically harmful code or material;
  • Attempt to gain unauthorised access to any part of the Website, its underlying server, or any database, network, or system connected to the Website;
  • Use automated tools, bots, spiders, scrapers, crawlers, or similar technologies to extract, harvest, or monitor data from the Website without Orbitra's prior written consent;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software forming part of the Website;
  • Use the Website to misrepresent your identity, affiliation, or authority, or to impersonate any person or legal entity;
  • Submit false, misleading, or fabricated information through the Registration Form;
  • Engage in any conduct that restricts, inhibits, or degrades any other person's use or enjoyment of the Website or Orbitra's infrastructure; or
  • Circumvent, disable, or interfere with any security, access control, or technical protection measures implemented by Orbitra.

Intellectual Property Rights

7.1   Ownership

All Content on the Website — including but not limited to text, graphics, logos, icons, images, data compilations, product concepts, architectural diagrams, software code, and the overall design and arrangement of the Website — is the exclusive property of Orbitra Global DMCC or its licensors and is protected by applicable intellectual property laws of the UAE and internationally.

7.2   Restrictions

Without Orbitra's express prior written consent, you may not:

  • Reproduce, distribute, modify, adapt, translate, or prepare derivative works from any Content;
  • Publicly display, broadcast, or commercially exploit any Content;
  • Use Orbitra's name, trademarks, service marks, trade names, or logos in any manner; or
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Website or in Content.

7.3  Limited Personal Use Licence

You may print or download a single copy of any page on the Website solely for your own personal, non-commercial reference purposes, provided that all proprietary notices and attributions remain intact on all copies.

User Submissions and Registration Form Data

By submitting information through the Registration Form — including your category, role, full name, company name, country, email address, and any optional contact number — you:

  • Represent and warrant that all information you submit is accurate, complete, current, and not misleading;
  • Acknowledge that you are authorised to provide the information submitted, including any company or organisation details;
  • Grant Orbitra the right to use, store, and process such information for the purposes described in our Privacy Policy;
  • Acknowledge that submission of information does not create any legal obligation on Orbitra's part, including any obligation to provide access, enter into a commercial relationship, or respond within any defined timeframe; and
  • Agree that Orbitra may contact you at the email or telephone number provided for purposes directly relating to the Early Access Programme, product development updates, and Orbitra's services.

You are solely responsible for the accuracy of the information you provide. Orbitra accepts no liability for errors, delays, or consequences arising from inaccurate or incomplete submissions.

The Website may contain links to third-party websites, social media platforms, publications, or external resources. These links are provided for your convenience and informational purposes only.

Orbitra has no control over, and accepts no responsibility or liability for, the content, accuracy, privacy practices, security, or availability of any third-party websites. Where applicable law does not permit the exclusion or limitation of certain liabilities, Orbitra's aggregate liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Orbitra Global DMCC and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:

  • Your access to or use of the Website;
  • Your violation of these Terms or any applicable law or regulation;
  • Any information you submit through the Registration Form that is false, misleading, or inaccurate;
  • Your infringement of any third-party rights, including intellectual property or privacy rights; or
  • Any dispute between you and a third party in connection with your use of the Website.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai, and, where relevant, the rules and regulations of the Dubai Multi Commodities Centre (DMCC) Authority.

Subject to any mandatory dispute resolution mechanisms required by applicable law, any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding their existence, validity, interpretation, breach, or termination — shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.

If you access the Website from outside the UAE, you do so on your own initiative and remain solely responsible for compliance with local laws applicable in your jurisdiction.

Modifications to These Terms

Orbitra reserves the right to modify, update, or replace these Terms at any time, at its sole discretion. Updated Terms will be posted on the Website with a revised effective date.

Your continued access to or use of the Website following the posting of updated Terms constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically. If you do not agree with any revised Terms, you must cease using the Website immediately.

For material changes that significantly affect your rights or obligations, Orbitra will endeavour to provide reasonable advance notice, which may include a notice posted on the Website homepage.

Severability

Orbitra reserves the right to modify, update, or replace these Terms at any time, at its sole discretion. Updated Terms will be posted on the Website with a revised effective date.

Waiver

No failure or delay by Orbitra in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right. No single or partial exercise of any right shall preclude any further exercise of that right or the exercise of any other right.
